When Is the Right Time to Sell Your Business?

The right time to sell isn’t a specific date on a calendar — it’s the point where three critical attributes align: your finances, your mindset, and your estate. Here’s how we help business owners think through each critical step.

First Question: Can You Afford to Sell?

If you sold today, would the proceeds be enough to live on? This question can sometimes be trickier than it sounds, because a lot of what funds an owner’s lifestyle never shows up as personal income — it’s absorbed by the business. The car, the travel, the meals, the health insurance, the phone bill. Once the business is sold, all those expenses will come out of your own pocket.

At Honarc, we focus on a process called Lifestyle + planning. We assess your true lifestyle costs, add a buffer on top, and stress-test your plan against conservative assumptions. If your plan holds up under a conservative, base-case scenario, you’re in a strong position. If it only works when everything goes right, that’s a sign there is more preparation to do before you sell, not a reason to walk away from the idea.

Second Question: Are You Ready to Sell?

How do you feel about the business day to day? Are you waking up energized to take on whatever the day throws at you, or are you dragging yourself in, fed up with headaches?

In our experience, if you already have two feet out the door, you’ve waited too long. The right window is when you’re walking towards the door — but haven’t grabbed the handle. Selling when you’re energized gives you leverage, patience, and clarity that selling out of exhaustion never will.

It’s also worth asking what life looks like on the other side. Do you have hobbies, interests, or other ventures you’re genuinely excited to spend time on? Have you pictured what a normal Tuesday looks like a year after closing? This is often the single largest struggle owners face after a sale — not the financial adjustment, but the personal one.

Third Question: Is Your Estate Prepared for You to Sell?

Many of the successful business owners we work with are in a position to pass on significant wealth to the next generation. If that’s true for you, one of the most valuable things you can do before selling is make sure you’ve taken advantage of estate planning strategies while you still own the business.

There are several estate planning techniques available to business owners that simply aren’t available — or aren’t nearly as effective — once the business has already been sold. Structuring ownership, gifting strategies, and trust planning generally work best when these techniques are implemented ahead of a transaction, while the business – and its future upside – can still be transferred at a lower valuation. Waiting until after the sale to think about this often means leaving meaningful value on the table for your family.

Bringing It Together

There’s no perfect day to sell a business. But there is a point where the answers to these three questions all point in the same direction.

If you’re starting to ask yourself these questions, that’s usually the right time to start planning. The owners who achieve the most desirable outcomes are often the ones who started working through these questions well before they sold their respective business.
